The terms and conditions outlined below (“Terms”) constitute an agreement between Sandeep & Vijaya, having its registered address at HIG – 96, KPHB Colony, Kukatpally, Hyderabad – 500072 (“we”, “us”, or “our”), which operates www.sandeepvijaya.com (the “Sandeep & Vijaya Platform”), and a natural or legal person (“you” or “your”) who accesses and/or uses the Sandeep & Vijaya Platform in any manner or avails any service or offer made available through it (“Service(s)”).

By using the Sandeep & Vijaya Platform, you expressly agree to be bound by these Terms. If you do not agree, please refrain from using the platform. In case of any inconsistency between these Terms and Additional Terms, the latter will prevail.

For the purposes of these Terms:
(a) “Sandeep & Vijaya Platform” refers to www.sandeepvijaya.com, including its web-based, tablet, desktop, or other digital versions managed by us.
(b) “Products” include apparel, accessories, and other items offered for sale under the “Sandeep & Vijaya” brand on the platform.
(c) “Party” refers to you or us individually, and “Parties” refers to both collectively.

1. General

1.1 These Terms of Use govern your access and use of the Sandeep & Vijaya Platform, which serves as a marketplace for discovering, selecting, and purchasing Products listed at the indicated price from serviceable locations.

1.2 We may revise these Terms of Use periodically. It is your responsibility to review them before using the platform. We also reserve the right to modify the content, format, or suspend operations for maintenance or other reasons.

1.3 By accessing, browsing, or using the Sandeep & Vijaya Platform, you agree to comply with these Terms, along with our Privacy Policy and any applicable guidelines that may be updated periodically (collectively, the “Agreement”).

1.4 This document is an electronic record under the Information Technology Act, 2000 and related rules. It is generated electronically and does not require physical or digital signatures.

1.5 We grant you a limited, revocable permission to access and use the platform solely for identifying and purchasing Products.

1.6 By accepting these Terms, you affirm that you are at least 18 years old and fully competent to enter into this Agreement. If you are under 18, you must use the platform under the supervision of a parent or legal guardian, who must agree to these Terms on your behalf. If we discover that an unsupervised minor is using the platform, we reserve the right to deactivate their account.

2. Account Registration

2.1 To purchase Products and avail Services, you must register on the Sandeep & Vijaya Platform through a one-time mobile OTP verification and complete the required forms. Orders can only be placed after logging in successfully.

2.2 You are responsible for maintaining the confidentiality of your login credentials. You must prevent unauthorized access to your account and will be solely liable for any activity conducted through it.

2.3 You must:
(a) Immediately report any unauthorized access or security breach to us.
(b) Log out of your account after each session.

3. Disclaimer Of Warranties, Inaccuracies, Or Errors

3.1 We strive to ensure the accuracy of information on the Sandeep & Vijaya Platform but do not guarantee its completeness or correctness.

3.2 You are responsible for evaluating the suitability of information before making any purchase or decision. We will not be liable for any reliance on such information.

3.3 The visual representations of Products (images, videos, infographics, etc.) are for reference purposes only. While we strive for accuracy, actual Product appearance may vary.

3.4 Pricing is subject to change due to external factors, and we disclaim any guarantee of exact price accuracy.

3.5 We do not warrant that any Product, process, or information available on the platform does not infringe on any patents or third-party rights.

3.6 We do not make any representations or warranties regarding:
(a) The quality, accuracy, reliability, or performance of the platform or Products.
(b) The uninterrupted availability of the Services.
(c) The error-free operation of the platform or third-party links.

3.7 The Sandeep & Vijaya Platform and its Services are provided “as is” and “where is”, without any representations, express or implied. We are not liable for direct, indirect, incidental, consequential, or punitive damages arising from its use.

3.8 To the extent permitted by law, we disclaim liability for loss, damage, or injury caused by service failures, unauthorized access, data breaches, or any security issues on the platform.

4. Availability & Accessibility

4.1 The Sandeep & Vijaya Platform is operated from India. We do not guarantee its accessibility or availability in other regions. If you use the platform from outside India, you are responsible for compliance with local laws.

4.2 We may have region-specific platforms, and Services offered may vary based on local laws, shipping feasibility, and other factors.

4.3 Information published on our platform may reference Products or Services not available in your country. Such references do not imply that we intend to offer them in your region.

4.4 We monitor accounts for fraudulent activity. Users found engaging in fraudulent transactions (such as creating multiple accounts for referral benefits) will face legal action and account termination.

5. Third-Party Interactions & Links

5.1 The Sandeep & Vijaya Platform may contain links to third-party websites or services. We do not endorse or assume responsibility for any transactions, purchases, or interactions you have with these third parties.

5.2 Any agreement, purchase, or interaction with a third-party service provider remains solely between you and that provider.

6. Copyright & Intellectual Property

6.1 The content, images, text, and graphics on the Sandeep & Vijaya Platform are protected by copyright and intellectual property laws. All copyrights belong to Sandeep & Vijaya or its licensors.

6.2 You are granted a limited, non-exclusive, non-transferable license to access and use the platform for personal purposes, including browsing Products and making purchases.

6.3 You are prohibited from:
(a) Copying, distributing, modifying, or reproducing content for commercial use.
(b) Using any trademarks, logos, or proprietary content without prior written consent.

7. Trademarks

All trade names associated with us and all products and logos denoted with TM are trademarks or registered trademarks of Sandeep and Vijaya or our affiliates. Our trademarks may not be used in connection with any product or service that is not ours.

8. License and use of your content

8.1 You grant Sandeep and Vijaya a royalty-free, perpetual, irrevocable, non-exclusive right and license to adopt, publish, reproduce, disseminate, transmit, distribute, copy, use, create derivative works from, display worldwide, or act on any material posted by you on the Sandeep and Vijaya platform without additional approval or compensation, in any form, media, or technology now known or later developed. This applies for the full term of any rights that may exist in such content, and you waive any claim over all feedback, comments, ideas, or suggestions provided through or on the Sandeep and Vijaya platform. You agree to perform all further acts necessary to perfect any of the above rights, including executing deeds and documents upon our request.

8.2 You acknowledge that we do not routinely monitor user postings on the Sandeep and Vijaya platform but reserve the right to do so. If we become aware of any inappropriate use of the platform or its services, we may take action as deemed appropriate in our sole discretion. We also reserve the right to report any suspected illegal activities to law enforcement authorities and will cooperate fully with such agencies when requested.

You are solely responsible for your actions or those of anyone using your username and password. You agree to indemnify and hold harmless Sandeep and Vijaya, its officers, directors, employees, affiliates, agents, licensors, and business partners from any claims, damages, liabilities, or expenses (including legal fees) arising from your use of the platform or the actions of anyone using your credentials.

8.4 We reserve the right to terminate access to the Sandeep and Vijaya platform at any time without notice. Additionally, this limited license terminates automatically if you breach any of these Terms of Use. Upon termination, you must immediately destroy any downloaded or printed materials. Any obligations or rights that naturally extend beyond termination shall survive.

9. User warranties and restrictions

9.1 You represent and warrant that:
(a) Your use of the Sandeep and Vijaya platform and services will comply with applicable laws and regulations.
(b) All information submitted by you is true, accurate, and lawful.
(c) Your provided content does not infringe on any applicable agreements or cause harm to any person or entity.

If any information provided by you is found to be false or misleading, we reserve the right to reject registration, cancel orders, and restrict future use of our services without prior notice. You agree to indemnify Sandeep and Vijaya and its affiliates for any claims from third parties arising from breaches of these warranties.

9.2 You agree to use the Sandeep and Vijaya platform for lawful purposes only and will not engage in any activity that could harm the platform, its content, or its services. You have a limited license to access and use the platform solely for availing services, subject to these Terms of Use.

9.3
You agree not to:

9.3.1 Modify or delete any content on the Sandeep and Vijaya platform, including information about services, pricing, or sales.
9.3.2 Use software, tools, or automated mechanisms (such as robots, spiders, or scrapers) to access the platform.
9.3.3 Make false or malicious statements about the platform, services, or Sandeep and Vijaya.
9.3.4 Upload, distribute, or transmit viruses, harmful software, or other components that may damage or disrupt the platform or services.
9.3.5 Introduce trojans, malware, or any other malicious software to the platform.
9.3.6 Probe, scan, or test the security of the platform, attempt to tamper with security measures, or interfere with its infrastructure.
9.3.7 Hack into or introduce unauthorized software to the platform.
9.3.8 Gain unauthorized access to servers, computers, or databases related to the platform.
9.3.9 Engage in disruptive online behavior, including but not limited to “flaming,” “spamming,” “phishing,” or “trolling.”

9.4 You are prohibited from hosting, displaying, uploading, publishing, transmitting, or sharing content on the Sandeep and Vijaya platform that:

9.4.1 Belongs to someone else and is used without permission.
9.4.2 Is harmful, defamatory, obscene, harassing, invasive of privacy, or promotes illegal activities.
9.4.3 Harms minors in any way.
9.4.4 Infringes on intellectual property rights.
9.4.5 Violates any laws in force.
9.4.6 Deceives or misleads recipients or transmits offensive content.
9.4.7 Impersonates or defames another person. 9.4.8 Contains viruses or malicious code designed to harm computer systems.

10. Indemnification and limitation of liability

You agree to indemnify, defend, and hold harmless Sandeep and Vijaya, its affiliates, officers, directors, employees, consultants, licensors, agents, and representatives from and against any third-party claims, losses, liabilities, damages, and costs (including reasonable attorney fees) arising from:

• Your access to or use of the Sandeep and Vijaya platform or services.
• Any violation of these Terms of Use.
• Any infringement of intellectual property or other rights of Sandeep and Vijaya or any third party.

We will promptly notify you of any such claims, and in addition to the above, you agree to provide reasonable assistance, at your expense, in defending any such claim or dispute.

11. Applicable law and jurisdiction

These Terms of Use shall be governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles. Any dispute, difference, or controversy arising out of or in connection with these Terms shall be referred to and resolved by arbitration administered by Hyderabad Mediation and Arbitration Center (HMAC) in accordance with its Arbitration Rules and the Arbitration Act of 1996.

• The place of mediation shall be Hyderabad.
• The number of arbitrators shall be one.
• The seat of arbitration shall be Hyderabad

12. Force majeure

Sandeep and Vijaya shall not be held liable for any failure or delay in fulfilling its obligations under these Terms of Use due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, strikes, labor disputes, pandemics, government regulations, or any other unforeseen event.

13. Waiver

No provision of these Terms of Use shall be deemed waived, and no breach shall be excused unless such waiver or consent is in writing and signed by Sandeep and Vijaya. Any waiver of a specific breach shall not constitute a waiver of any other or future breach.

14. Severability

If any provision of these Terms of Use is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be excluded, and the remaining provisions shall continue to be in full force and effect. These Terms shall be interpreted in a manner that preserves the original intent of the excluded provision to the maximum extent permitted by law.

15. Amendment

Sandeep and Vijaya reserves the right to amend, modify, or update these Terms of Use at any time without prior notice. Users are advised to review the Terms periodically on the Sandeep and Vijaya platform. Your continued use of the platform constitutes acceptance of the most current version of the Terms of Use.

16. Miscellaneous

16.1 Compliance with Third-Party Terms

In addition to these Terms of Use, you agree to comply with any applicable third-party terms, such as those of banks or brands offering promotions or discounts. Sandeep and Vijaya is not responsible for any transactions between users and such third parties.

16.2 Entire Agreement

These Terms of Use constitute the entire agreement between you and Sandeep and Vijaya and supersede all prior written or oral agreements concerning the use of the platform. Your rights and liabilities concerning the services provided by Sandeep and Vijaya shall be governed solely by these Terms.
